- Acceptance of Terms and Corporate Scope
These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between Himalco Agri Ventures (“Company”, “we”, “us”, or “our”) and any user, visitor, commercial client, farmer-producer organization (FPO), or corporate agricultural investor (“Client”, “User”, “you”) accessing https://himalcoagriventures.com/ or contracting our turnkey engineering and agricultural infrastructure services.
By accessing this website, submitting inquiry forms, requesting Detailed Project Reports (DPR), or engaging our engineering personnel, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the site and our advisory services.
- Definitions & Service Overview
Himalco Agri Ventures is a specialized agricultural engineering and turnkey infrastructure firm providing:
- Design, fabrication, and on-site civil erection of Naturally Ventilated Polyhouses (NVPH), Climate-Controlled Fan-and-Pad Greenhouses, Net Houses, and High-Tunnel Shade Facilities.
- Procurement and assembly of Hot-Dip Galvanized (GI) structural members, certified UV-stabilized polyethylene films, insect netting, and profile locking mechanisms.
- Automated fertigation units, drip/sprinkler micro-irrigation systems, climate controllers, and internal screening automation.
- Commercial crop agronomy advisory, DPR preparation for institutional bank finance, and technical assistance for government horticulture subsidies (MIDH, NHB, and State Missions).
- Technical Quotations, DPRs, and Feasibility Audits
A. Non-Binding Estimates:
All figures, cost per square meter, revenue projections, and sample Detailed Project Reports (DPRs) displayed on this website or shared via email/WhatsApp are strictly indicative. They are designed for initial planning purposes only.
B. Final Project Proposals:
Final commercial quotations and structural engineering drawings are generated solely after a physical on-site technical inspection, comprehensive soil-bearing capacity analysis, irrigation water quality testing (pH/EC), and wind load assessment by our agronomy and civil engineering teams.
C. Raw Material Price Adjustments:
Because protected cultivation infrastructure depends on primary raw materials (such as hot-dip galvanized steel, zinc coatings, and imported polymers), official written quotations remain valid for precisely fifteen (15) calendar days from the date of issue, unless otherwise specified in writing.
- Government Subsidies, Bank Finance & Approvals Disclaimer
A. Documentation Assistance Only:
Himalco Agri Ventures provides technical blueprints, structural drawings, bill of quantities (BOQ), and DPR compilation to facilitate client applications for National Horticulture Board (NHB), Mission for Integrated Development of Horticulture (MIDH), and state-level subsidy schemes.
B. No Guarantee of Sanctions:
The sanctioning, approval, timeline, and disbursement of agricultural subsidies, bank term loans, or capital grants remain under the exclusive jurisdiction of the respective government authorities, state nodal agencies, and financial institutions. Himalco Agri Ventures accepts no liability, financial responsibility, or operational delay claims resulting from subsidy rejection, modification of government guidelines, or delayed fund transfers.
- Client Site Prerequisites & Obligations
Prior to the dispatch of structural components and the deployment of our erection crew, the Client agrees to provide and maintain:
- Free, unencumbered, clear legal access to the site boundary and internal operational areas.
- Adequate, all-weather approach roads suitable for heavy freight trailers carrying steel members and glazing materials.
- Uninterrupted water source and three-phase electrical power (or heavy-duty generator support) necessary for site welding, fabrication, and initial system testing.
- Complete demarcation of farm boundaries, removal of deep roots, rocks, and earth-leveling conforming to civil slope specifications provided by Himalco engineers.
- Secure, dry storage space at the farm site to safeguard delivered galvanized pipes, motors, electrical panels, and rolls of greenhouse film from weather damage or theft.
- Material Standards, Structural Integrity & Warranties
A. Material Specifications:
All structural members deployed by Himalco comply with standard IS guidelines for agricultural polyhouses, featuring verified hot-dip zinc coatings and structural grade steel. Polyethylene film cladding is sourced with specified micron ratings and UV stabilizers.
B. Limited Structural Warranty:
Himalco provides a specified structural workmanship warranty as defined in the final signed project execution contract. This warranty covers defect in fabrication joints, truss alignments, and structural foundation anchor bolts executed by our certified erection crew.
C. Exclusions from Warranty:
The structural warranty does not cover:
- Severe weather anomalies exceeding standard structural design ratings (tornadoes, severe cyclonic storms, seismic occurrences, or catastrophic flooding).
- Physical tears, punctures, or chemical degradation of poly-film caused by unauthorized farm pesticides, improper chemical spraying, or external mechanical impact.
- Any structural modification, welding, drilling, or additional load hung on roof trusses without prior written certification from Himalco structural engineers.
- Agronomy Advisory & Biological Yield Limitations
While our certified agronomists provide scientific fertigation schedules, pest management protocols, and climate control configurations:
- Plant growth, crop yield, flowering cycles, and fruit grading are living biological processes subject to ambient microclimates, farm labor diligence, water salinity changes, seed genetics, and local pathogens.
- Himalco Agri Ventures does not guarantee specific harvest volumes, monetary returns per square meter, or wholesale mandi price realizations. Commercial success remains dependent on proper daily greenhouse husbandry and general agricultural market dynamics.
- Payment Terms, Mobilization & Default
- Turnkey contracts are executed based on structured milestone payments (Advance Mobilization, Steel Fabrication Dispatch, Civil Foundation Erection, Cladding Completion, and Final System Handover).
- Failure to clear milestone payments within the timeframe stated in the commercial agreement shall grant Himalco the explicit right to suspend ongoing site erection, hold material dispatches, or retrieve uninstalled on-site materials without penalty.
- Intellectual Property Rights
All technical schematics, foundation drawings, irrigation blueprints, web copy, visual photography, corporate logos, and architectural layouts published on https://himalcoagriventures.com/ are the sole intellectual property of Himalco Agri Ventures. Users are prohibited from copying, reverse engineering, distributing, or utilizing our technical blueprints for competitive construction without our express written permission. - Force Majeure
Neither Himalco Agri Ventures nor the Client shall be held liable for failure or delay in fulfilling structural installation obligations when such delays arise from causes beyond reasonable control, including acts of God, extreme localized weather disasters, war, strikes, civil unrest, sudden material transport blockades, localized road closures, or government-mandated infrastructure halts. - Third-Party Links & Ancillary Equipment
Our digital properties may feature links to external equipment manufacturers, government subsidy portals, or market analytics. Himalco does not endorse, verify, or take responsibility for the practices, accuracy, or privacy measures implemented by third-party external portals. - Limitation of Liability
To the maximum extent permitted by applicable Indian law, Himalco Agri Ventures, its directors, site engineers, and employees shall not be held liable for any indirect, incidental, punitive, or consequential damages, including loss of agricultural harvest, business disruption, or commercial profits resulting from site delays or system misuse post-handover. - Governing Law, Dispute Resolution & Jurisdiction
These Terms and Conditions, alongside any project contracts stemming from our website engagements, shall be governed by, interpreted, and enforced in accordance with the substantive laws of India.
- Any dispute, difference, or claim arising out of these Terms or project execution shall first be referred to mutual conciliation between authorized executives of both parties.
- If conciliation fails within thirty (30) days, the matter shall be submitted to the exclusive jurisdiction of the competent civil courts situated within the district where Himalco Agri Ventures operates its registered corporate headquarters.
- Revisions to Terms
Himalco Agri Ventures reserves the right to amend, modify, or update these Terms and Conditions at its sole discretion to reflect operational enhancements, statutory changes, or technological revisions. The revised policy will be posted on this page with an updated “Last Updated” timestamp. Continued engagement with our site and services signifies acceptance of any such modifications. - Corporate Contact Desk
